Terms of Service

These Terms of Service (“Terms”) govern your purchase and use of digital products sold through MedTechCMM (“we,” “us,” or “our”), operated by Coherence Frameworks LLC. By purchasing or using any MedTechCMM product, you agree to these Terms.

License Grant

Upon purchase, we grant you a non-exclusive, non-transferable license to use the purchased assessment materials for internal business purposes within a single company or legal entity. You may not sublicense, resell, redistribute, or share the materials with any third party, including subsidiaries or affiliates, without prior written consent. The license is perpetual for the purchased assessment — you may reuse it for reassessments within your organization indefinitely.

Watermarking

All assessment deliverables are watermarked with your company name and a unique license identifier at the time of delivery. This watermarking is disclosed at the point of purchase. You agree not to remove, obscure, or alter any watermarks embedded in the deliverables.

Payment

All payments are processed securely through Stripe. Prices are listed in US dollars unless otherwise stated. You are responsible for any applicable taxes. By completing a purchase, you authorize the charge to your selected payment method.

Refund Policy

Due to the digital nature of our deliverables, all sales are final. Assessment packages are delivered electronically immediately upon purchase and cannot be “returned.” If you experience a technical issue with delivery or believe you were charged in error, contact us at hello@medtechcmm.com and we will work to resolve the issue promptly.

Intellectual Property

All assessment frameworks, scoring rubrics, templates, content, and associated materials are the intellectual property of Coherence Frameworks LLC. Your license grants usage rights only. You may not reproduce, modify for redistribution, reverse-engineer, or create derivative works intended for commercial sale from any MedTechCMM product.

Limitation of Liability

MedTechCMM provides structured assessment tools and templates. Our products are not consulting services, regulatory advice, or professional counsel. To the maximum extent permitted by law, Coherence Frameworks LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of our products. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the specific product giving rise to the claim.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our products after changes take effect constitutes acceptance of the updated Terms.
